CAPACITIES APPLICABLE TO THE LICENSE AND TO THE GUARANTEE OF ALPHACENTAURE

As all the licenses which respect themselves, this one can be read 1 line on 10.

IMPORTANT - TO READ WITH ATTENTION

These capacities applicable to the license and to the guarantee constitute a legal contract ("Licensing agreement") among you (physical person or moral person) and ALPHACENTAURE concerning the software product ("Software") identified above, as well as any support, software and on-line or printed documentation which accompany it.

BY INSTALLING, COPYING, OR USING IN OTHER WAY THE SOFTWARE, YOU AGREE TO CONFORM TO ALL THE TERMS AND TO ALL THE CONDITIONS OF THE LICENSING AGREEMENT.

If you are the user of the Software and if you do not accept the terms and the conditions of the Licensing agreement, send back the Software not used in the place where you downloaded it (finally, if it is possible). You will not be completely paid off, because it is free.

If you accept the terms and the conditions of the Licensing agreement, ALPHACENTAURE grants you the right to use the Software of the way described below.

The Software is the property of ALPHACENTAURE or his suppliers, it is protected by :

- Internal legislation,
- International treaties,
- Copyright,
- Geneva convention

(Please, cross off the useless mentions)

You do not have to, consequently, act face to face of this Software as if it was about quite other material subjected to the copyrights, to the only difference that you can either realize a copy of the Software but not only in purposes of protection or filing, or transfer the Software on a single hard disk on the condition of preserving the original only in purposes of protection or filing (bla bla bla and bla bla bla...).

You can give up to a third party the Software and its documentation in a permanent way provided that you have to keep a copy and provided that the beneficiary accepts the conditions of the Licensing agreement. With the exception of the cases expressly foreseen in the Licensing agreement, the transfer, the rent, the hire purchase, the loan, the copy, the modification, the translation, the sublicense, the use at shared time, the transmission or the electronic reception of the Software (and I spend the best), of his support or the documentation relative are not authorized. You recognize that the Software in the form of source code remains a secret of ALPHACENTAURE and\or his suppliers and for that reason, please, agree to be able to modify the Software and to try to bone, to decompile, nor to disassemble Software, safe and only when such an activity is expressly authorized by the applicable legislation in spite of this constraint (finally you see the style).

If you bought (not possible) a version updated by the Software, it constitutes the only product with the Software ALPHACENTAURE which you updated. You can use or transfer the version updated by the Software only in agreement with the capacities of the Licensing agreement.

This Software is not subjected to the limitations imposed in export by the Ministry of Trade of United States of America (U.S. Business Department) and its use is granted for a use in the country where the Licensing agreement is emitted (or the European Community, if it is sold in EEC).

SUPPLEMENTARY CONDITIONS FOR ALPHACENTAURE

ALPHACENTAURE grants you a right staff and not exclusive to install and to use the Software in the only purposes to display the programs. You can install a copy of the Software on a computer and move freely the Software from a computer to the other one, provided that you are not the only one to use the Software. If you represent a moral person, ALPHACENTAURE grants you the right to appoint an individual belonging to your organization (" named User ") which will have the right to use the Software of the way described above.

LIMITED GUANRANTEE

ALPHACENTAURE does not guarantee that the Software updated and used correctly is in accordance with the documentation which accompanies it and that the support (media) of the software is exempt from any defect, caused by the used component or the manufacture, during a duration of ninety ( 90 ) days (neptunian days) as from the date of acquisition of the software. Any implicit guarantee relative to the Software is limited to a duration of ninety ( 90 ) days (always in neptunian day). Certain states / authorizing country / jurisdictions lalimitation of the duration of an implicit guarantee, the previous limitation can be not applicable in your case.

The responsibility of ALPHACENTAURE and his suppliers, in your respect is exclusively limited to the choice of ALPHACENTAURE:

No refund of the price paid (because it is free I say to you)
Correction or replacement of the software

Not having satisfied the guarantee limited by ALPHACENTAURE, subject to turning for the delay of guarantee the defective software to ALPHACENTAURE. Please, RETURN NO PRODUCT TO ALPHACENTAURE WITHOUT HAVING OBTAINED FIRST A NUMBER OF LICENSE OF RETURN BY CONTACTING OUR CUSTOMER SERVICE. The Limited Guarantee is no if the defect of the software results from an accident or from an excessive or erroneous use. Any replaced Software will be guaranteed for what stays of the period of initial guarantee or for thirty ( 30 ) days (days neptuniens), the longest of both periods. Outside the United States, neither these compensations nor the services of support of any product offered by ALPHACENTAURE are available without proof of purchase with a not American approved retailer.

UNTIL THE MAXIMAL ESTIMATE AUTHORIZED THERE APPLICABLE LEGISLATION, ALPHACENTAURE AND HIS SUPPLIERS ASSUME NO OTHER GUARANTEE OF SOME NATURE AND ABOUT TITLED WHETHER IT, EXPLICIT OR IMPLICIT, IS OF COMMERCIABILITE, CORRESPONDENCE OR EQUIVALENCE IN WORN ONE SPECIFIC, FACE TO FACE OF the SOFTWARE AND THE SUPPLY OR THE IMPOSSIBILITY TO SUPPLY SERVICES OF SUPPORT. THIS LIMITED GUARANTEE CONFERS YOU RIGHT PRIVATE INDIVIDUALS. IT IS POSSIBLE THAT YOU BENEFIT FROM THE OTHER VARIABLE RIGHTS OF A STATE OR FROM A COUNTRY TO THE OTHER ONE.

LIMITED RESPONSABILITY

UNTIL THE MAXIMAL ESTIMATE AUTHORIZED THERE APPLICABLE LEGISLATION, ON NO ACCOUNT ALPHACENTAURE AND HIS SUPPLIERS CAN NOT BE CONSIDERED AS RESPONSIBLES FOR ANY SPECIAL, ACCIDENTAL, INDIRECT OR CONSECUTIVE DAMAGE, WHATEVER NATURE IT IS (NOTABLY OPERATING LOSS, LOSS OF DATA OR QUITE OTHER FINANCIAL LOSS) RESULTED FROM THE USE OR FROM THE IMPOSSIBILITY TO USE THE PRODUCT OR OF THE SUPPLY AND THE IMPOSSIBILITY TO SUPPLY SERVICES OF SUPPORT, EVEN THOUGH ALPHACENTAURE WAS INFORMED ON PURPOSE ABOUT THE EVENTUALITY OF SUCH DAMAGES.

IN EVERY CASE, ALPHACENTAURE'S TOTAL RESPONSIBILITY FACE TO FACE OF ANY ARRANGEMENT OF THIS LICENSING AGREEMENT WILL BE LIMITED TO THE BIGGEST of both ADDED ENTER THE AMOUNT EFFECTIVELY SETTLED BY YOU FOR THE SOFTWARE AND 25 USD (OR IN RUSSIAN ROUBLES); HOWEVER, IF YOU SIGNED A CONTRACT WITH ALPHACENTAURE OF SERVICES OF SUPPORT, ALPHACENTAURE'S TOTAL RESPONSIBILITY CONCERNING THE SUPPLY OF THESE SERVICES IS SUBJECTED AT THE END OF THIS CONTRACT. CERTAIN STATES, COUNTRIES AND JURISDICTIONS NOT AUTHORIZING THE DEFECT OR THE LIMITATION OF THE RESPONSIBILITY, THE PREVIOUS LIMITATION CAN BE NOT APPLICABLE IN YOUR CASE.

ACTIVITIES AT HIGH RISK

The Software neither is tolerant in the faults and is conceived, made, nor foreseen for equipment of control in real time in dangerous environment requiring a resistance in the breakdown, as for the nuclear sites, the aviation or the systems of communication, control of air traffic, the devices of assistance to the life or the systems of armament, for which a failing of the Software would provoke the death, the important wounds or the important physical or environmental damages (Activities at High Risk). No commitment is granted by ALPHACENTAURE or his suppliers in particular any express or implicit guarantee of correspondence or of equivalence on the Activities to High Risk.

GENERAL CAPACITIES

The present Licensing agreement can be modified only by a written amendment and signed by the representatives duly authorized by your company and by that of the ALPHACENTAURE. All the terms of any order form or document of order are supplanted by this licensing agreement. If the one some of the capacities of the present Licensing agreement is declared anybody or not applicable, this nullity would not know how to affect the other capacities which will continue to produce their full effect. If the foreseen compensations were considered not susceptible to perform their essential object, all the restrictif capacities of responsibility and excluding the repair of the damages stipulated by the Limited Guarantee will remain applicable.

The present Licensing agreement will be governed and interpreted according to the French law. In case of dispute ensuing from its interpretation or from its execution, the parts undertake to look for an amicable solution. In defect, this dispute will be the exclusive competence of the Commercial court of (about by in France). ALPHACENTAURE reserves his rights on all the rights not expressly granted in conformance with document.
